Course Description

The aim of the course will be to give a broad prospective of the issues raised by cross border mergers and the various ways to structure such transactions,i.e. mergers, tender, dual listing, cross participations. Selected European deals including between European and non-European, mostly US, will be analyzed. Although covering essentially the corporate and securities laws aspects of cross border mergers, the course will examine also the main tax issues encountered in such transactions and the policy issues raised by the control by governmental agencies of cross border mergers. Since the students may not have had the same exposure on company law and tax law applicable to domestic merger, a general presentation of the main features of such laws will be discussed at the beginning of the course.
